## 1. Introduction

These User Terms of Usage (“Terms”) govern the access to and use of the OOTER platform by advertisers, users, companies, agencies and other customers.

OOTER is a technology-enabled outdoor advertising marketplace that allows users to discover, compare, book and manage outdoor advertising inventory offered by participating merchants.

By registering on OOTER, accessing the platform, placing a booking, making a payment or using OOTER's services, the user agrees to these Terms.

If the user does not agree with these Terms, the user should not use the OOTER platform.

# 2. Definitions

For these Terms:

**“OOTER”**, **“Platform”**, **“we”**, **“us”** or **“our”** means OOTER, operated by Adbook Communication Private Limited.

**“User”**, **“Advertiser”**, **“you”** or **“your”** means any individual, company, agency, organization or other person using OOTER's services.

**“Merchant”** means an outdoor advertising inventory owner, operator, agency, tender holder, authorized representative or other entity offering advertising inventory through OOTER.

**“Inventory”** means outdoor advertising media listed on the OOTER platform.

**“Campaign”** means an advertising campaign booked through OOTER.

**“Booking”** means a confirmed reservation of advertising inventory through the OOTER platform.

# 3. Nature of OOTER

OOTER operates as a technology-enabled marketplace/intermediary connecting advertisers with participating outdoor advertising merchants.

OOTER may facilitate:

* Inventory discovery;
* Inventory information;
* Availability;
* Booking;
* Payment;
* Campaign coordination;
* Campaign proof;
* Communication;
* Dispute handling; and
* Other platform-related services.

Unless expressly stated otherwise, OOTER does not itself own every advertising site listed on the platform.

The merchant remains responsible for the ownership, authorization, operation and physical condition of its inventory.

# 4. User Eligibility

The user must:

* Provide accurate information;
* Have the legal capacity to enter into applicable agreements;
* Use the platform for legitimate advertising purposes;
* Comply with applicable laws; and
* Comply with these Terms and other OOTER policies.

Where a user acts on behalf of a company or organization, the user represents that they have appropriate authority to do so.

# 5. User Account

Certain OOTER services may require the user to create an account.

The user is responsible for:

* Maintaining accurate account information;
* Keeping login credentials secure;
* Preventing unauthorized account access;
* Updating relevant information; and
* Not allowing unauthorized persons to misuse the account.

The user should promptly notify OOTER if unauthorized account activity is suspected.

# 6. Accurate Information

Users must provide accurate and complete information when:

* Creating an account;
* Making a booking;
* Providing billing details;
* Submitting campaign information;
* Uploading creative;
* Requesting cancellation/refund; or
* Communicating with OOTER.

Users must not knowingly provide false, misleading or fraudulent information.

# 7. Inventory Information

OOTER displays inventory information provided by merchants and/or generated through platform processes.

Inventory information may include:

* Location;
* Format;
* Dimensions;
* Photographs;
* Availability;
* Pricing;
* Visibility information;
* Technical specifications; and
* Other campaign-related information.

While OOTER may conduct verification and quality checks, the user acknowledges that certain inventory characteristics depend on merchant-provided information and real-world site conditions.

# 8. Inventory Availability

Inventory availability may change due to:

* Prior bookings;
* Merchant updates;
* Government restrictions;
* Site damage;
* Operational circumstances;
* Technical issues; or
* Other factors.

A booking becomes confirmed only after the applicable OOTER booking and payment process is completed and confirmation is issued or recorded.

# 9. Booking

The user may select inventory and submit a booking request through OOTER.

A booking generally becomes confirmed when:

1. The required payment has been successfully received or authorized; and
2. OOTER confirms or records the booking.

Payment initiation alone does not necessarily constitute booking confirmation.

# 10. Campaign Duration

Campaign duration will be determined by the booking selected by the user.

Unless otherwise specified, OOTER may have a standard minimum campaign duration of **one month**.

Specific inventory, packages or promotional campaigns may have different duration requirements.

# 11. User Payment

Unless otherwise specified, the user must make **100% advance payment** for a campaign booking.

Payments shall be made through OOTER's designated payment methods and payment gateway(s).

The user should not make direct payments to a merchant for an OOTER booking unless specifically authorized by OOTER.

Payment-related matters are governed by the **User Payment Policy**.

# 12. Taxes and Charges

Applicable taxes, statutory charges, platform charges or other disclosed fees may apply to a booking.

The user is responsible for the total amount displayed at the time of payment unless otherwise agreed.

Users must provide accurate billing and tax information where required.

# 13. Campaign Creative

The user is responsible for providing campaign creative, artwork, copy and other materials required for campaign execution.

The user represents that it has the necessary rights and permissions to use submitted creative.

# 14. Creative Compliance

User-submitted creative must comply with:

* Applicable laws;
* Government regulations;
* Advertising standards;
* Intellectual property rights;
* Public authority requirements;
* Site-specific restrictions; and
* OOTER's applicable content requirements.

OOTER may reject or request modification of creative that does not meet applicable requirements.

# 15. Prohibited Advertising Content

Users must not submit advertising content that is unlawful, fraudulent or otherwise prohibited by applicable law or platform requirements.

This may include content involving:

* Illegal products or services;
* Fraudulent claims;
* Misleading representations;
* Unauthorized use of intellectual property;
* Content prohibited by government authorities;
* Content that violates applicable advertising regulations; or
* Other prohibited material.

OOTER may refuse, suspend or cancel campaigns involving prohibited content.

# 16. Intellectual Property

The user retains ownership of intellectual property it lawfully owns and submits to OOTER.

By submitting campaign materials, the user grants OOTER and relevant campaign service providers the necessary limited rights to use those materials for:

* Campaign execution;
* Campaign coordination;
* Platform operations;
* Verification;
* Customer support; and
* Other purposes reasonably necessary to provide the booked service.

The user must not submit materials that infringe third-party rights.

# 17. User Representations

The user represents that:

* Information provided to OOTER is accurate;
* The user has authority to make the booking;
* The user has rights to submitted creative;
* Payment information is authorized for use;
* The campaign is intended for lawful purposes; and
* The user will comply with these Terms.

# 18. Campaign Execution

Once a campaign is confirmed, OOTER may coordinate with the merchant for campaign execution.

Campaign execution may include:

* Printing;
* Installation;
* Mounting;
* Display;
* Digital scheduling;
* Campaign monitoring;
* Removal; and
* Other applicable execution activities.

The actual execution may be performed by the merchant or its authorized representatives.

# 19. Campaign Proof

OOTER and/or the merchant may provide campaign proof, including:

* Photographs;
* Videos;
* Time-stamped evidence;
* Geo-tagged evidence where applicable;
* Installation confirmation; or
* Other reasonable campaign evidence.

Users may be required to review or acknowledge campaign-related information where applicable.

# 20. Campaign Interruption

Campaign delivery may occasionally be affected by:

* Site damage;
* Weather;
* Government action;
* Technical failure;
* Installation issues;
* Merchant-side operational issues;
* User-side delays; or
* Other circumstances.

OOTER may work with the relevant merchant to restore, replace or otherwise resolve the affected campaign.

# 21. Merchant-Side Failure

Where a confirmed campaign is materially affected by a verified merchant-side failure, OOTER may provide an appropriate remedy.

Depending on the circumstances, this may include:

* Campaign extension;
* Replacement inventory;
* Partial refund;
* Full refund; or
* Other reasonable adjustment.

# 22. Site Damage

If the booked inventory is damaged during the campaign, OOTER may coordinate restoration or replacement.

Where practical, the campaign may be extended to compensate for verified downtime.

The specific remedy will depend on the actual impact and applicable OOTER policies.

# 23. User Cancellation

Users may request cancellation subject to the applicable cancellation window and campaign status.

Cancellation and refund eligibility are governed by the **User Refund & Cancellation Policy**.

Users should review that Policy before requesting cancellation.

# 24. Refunds

Where a refund is approved, OOTER will generally process it through the applicable payment gateway or original payment mechanism.

Refund processing may generally take **7–10 business days**, subject to banking and payment gateway processing timelines.

# 25. User Cancellation Windows

Subject to the User Refund & Cancellation Policy:

### Within 24 Hours

A cancellation within 24 hours may qualify for a **100% refund** where printing, mounting or campaign execution has not been processed.

### Between 24–48 Hours

A cancellation during this period may be subject to a deduction generally ranging between **25%–50%**, with a standard minimum deduction of **30%**, depending on campaign status.

### After 48 Hours

Cancellation after 48 hours may generally not qualify for a refund except where an applicable exception applies.

The detailed cancellation rules are contained in the User Refund & Cancellation Policy.

# 26. User-Caused Delay

The user is responsible for providing required:

* Creative;
* Artwork;
* Approvals;
* Information;
* Specifications; and
* Other campaign materials

within the required timeframe.

Where campaign delay results from the user's failure to provide required information or materials, the user may not be entitled to a refund for the resulting delay.

# 27. Campaign Changes

Users may request changes to a confirmed campaign, including:

* Campaign dates;
* Inventory;
* Location;
* Creative;
* Duration; or
* Other booking details.

Changes are subject to:

* Availability;
* Merchant feasibility;
* Operational commitments;
* Applicable charges; and
* OOTER approval.

A requested change is not effective until confirmed by OOTER.

# 28. Direct Dealing With Merchants

Users should conduct OOTER bookings through the platform.

Users must not knowingly participate in arrangements designed to circumvent OOTER's applicable booking, payment or commercial processes.

If a merchant requests that a user cancel an OOTER booking and make a direct payment to the merchant, the user should report the request to OOTER.

# 29. Account Misuse

Users must not:

* Create fraudulent accounts;
* Impersonate another person or organization;
* Manipulate bookings;
* Abuse promotional offers;
* Submit fraudulent payment information;
* Attempt unauthorized access;
* Misuse platform functionality; or
* Engage in other activity intended to deceive or harm OOTER or other users.

# 30. Promotional Offers

Promotional discounts, coupons or credits may be subject to specific conditions.

OOTER may withdraw or cancel promotional benefits where there is evidence of:

* Fraud;
* Account manipulation;
* Promotional abuse;
* Duplicate-account misuse; or
* Other unauthorized activity.

# 31. User Conduct

Users must interact professionally and respectfully with:

* OOTER personnel;
* Merchants;
* Installation teams;
* Customer-support representatives; and
* Other platform participants.

Threatening, abusive, fraudulent or deliberately disruptive conduct may result in account restrictions.

# 32. Confidential Information

Users may receive confidential information relating to:

* Merchants;
* Inventory;
* Campaigns;
* Pricing;
* Commercial arrangements;
* OOTER operations; or
* Other platform participants.

Users must not misuse or disclose confidential information except where authorized or required by law.

# 33. User Data and Privacy

Users acknowledge that OOTER may collect and process information necessary to:

* Create and manage accounts;
* Process payments;
* Complete bookings;
* Coordinate campaigns;
* Provide customer support;
* Prevent fraud;
* Meet legal obligations; and
* Operate and improve the platform.

Applicable personal information will be handled in accordance with OOTER's applicable privacy practices and policies.

# 34. Third-Party Services

OOTER may use third-party providers for services including:

* Payment processing;
* Communication;
* Hosting;
* Analytics;
* Verification;
* Advertising operations; and
* Other platform functionality.

The availability of third-party services may affect certain platform features.

# 35. Platform Availability

OOTER aims to provide reliable platform access but does not guarantee that the platform will always be:

* Available;
* Uninterrupted;
* Error-free;
* Secure from every possible threat; or
* Free from temporary technical issues.

Maintenance, upgrades, outages or circumstances beyond OOTER's reasonable control may temporarily affect availability.

# 36. Merchant Relationship

The merchant remains responsible for:

* Inventory ownership or authorization;
* Site permissions;
* Physical infrastructure;
* Campaign installation;
* Site maintenance;
* Inventory availability; and
* Merchant-side campaign obligations.

OOTER facilitates the transaction and campaign process but does not assume ownership of merchant inventory.

# 37. Third-Party Claims

Where a third party raises a claim concerning merchant inventory, campaign rights or other merchant-side matters, OOTER may take reasonable steps to protect the user and platform.

This may include:

* Suspending the campaign;
* Seeking replacement inventory;
* Requesting merchant documentation;
* Providing an applicable refund; or
* Taking other reasonable action.

# 38. Force Majeure

OOTER shall not be responsible for delays or failures caused by circumstances beyond its reasonable control.

Such circumstances may include:

* Natural disasters;
* Fire;
* Flood;
* Earthquake;
* Severe weather;
* Government action;
* Civil unrest;
* War;
* Major public emergencies;
* Infrastructure failures; or
* Other extraordinary events.

Where reasonably possible, OOTER may attempt to provide an alternative arrangement.

# 39. Fraud Prevention

OOTER may conduct reasonable checks to prevent:

* Payment fraud;
* Identity misuse;
* Promotional abuse;
* Unauthorized transactions;
* Account abuse;
* Chargeback abuse; and
* Other fraudulent activity.

OOTER may restrict or suspend transactions where reasonably necessary.

# 40. Suspension or Termination

OOTER may restrict, suspend or terminate a user's account where the user:

* Violates these Terms;
* Engages in fraud;
* Misuses the platform;
* Provides materially false information;
* Repeatedly abuses refunds or chargebacks;
* Uses prohibited advertising content;
* Attempts to circumvent the platform; or
* Creates material legal, financial or operational risk.

# 41. Consequences of Termination

Following account suspension or termination:

* Pending bookings may be reviewed;
* Future bookings may be cancelled where appropriate;
* Promotional benefits may be withdrawn;
* Outstanding payment or refund matters may be reconciled; and
* Applicable obligations that are intended to survive termination may continue.

# 42. Limitation of Liability

To the extent permitted by applicable law, OOTER shall not be responsible for indirect, incidental, special or consequential losses arising from:

* Merchant infrastructure;
* Third-party actions;
* Government restrictions;
* Site conditions;
* Campaign interruptions outside OOTER's reasonable control;
* User-provided content; or
* Other circumstances beyond OOTER's reasonable control.

Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded.

# 43. No Guarantee of Advertising Results

OOTER does not guarantee specific advertising outcomes, including:

* Sales;
* Leads;
* Conversions;
* Brand awareness;
* Footfall;
* Impressions;
* Revenue; or
* Return on advertising spend.

Outdoor advertising performance may depend on numerous factors outside OOTER's control.

# 44. Indemnification

To the extent permitted by applicable law, the user may be responsible for claims, losses, damages or costs arising from:

* User-provided content;
* Intellectual property infringement;
* Illegal advertising;
* Fraudulent activity;
* Misrepresentation;
* Unauthorized use of payment methods;
* Violation of these Terms; or
* Violation of applicable law.

# 45. Dispute Resolution

Users should first contact OOTER customer support to resolve booking, payment, campaign or refund-related disputes.

OOTER may attempt to resolve disputes through discussion, investigation and available evidence before formal proceedings are initiated.

# 46. Governing Law and Jurisdiction

These Terms shall be governed by the applicable laws of India.

Subject to any applicable dispute-resolution arrangement, courts having jurisdiction in **Delhi, India** shall have jurisdiction over disputes arising from these Terms.

# 47. Modification of Terms

OOTER may modify, update or replace these Terms from time to time to reflect:

* Legal or regulatory requirements;
* Platform improvements;
* Operational changes;
* Payment processes;
* Advertising practices; or
* Other legitimate business requirements.

Updated Terms shall become effective from the date communicated by OOTER.

Continued use of the platform after the effective date may constitute acceptance of the updated Terms.

# 48. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.

# 49. No Waiver

Failure by OOTER to enforce any provision of these Terms immediately shall not constitute a waiver of its right to enforce that provision subsequently.

# 50. Entire Agreement

These Terms, together with the applicable:

1. **User Payment Policy**;
2. **User Refund & Cancellation Policy**;
3. Campaign-specific booking terms; and
4. Other applicable OOTER policies,

constitute the principal terms governing the user's use of OOTER's services.

# 51. User Acceptance

By:

* Creating an OOTER account;
* Accessing the platform;
* Submitting a booking;
* Making a payment;
* Uploading campaign creative; or
* Using OOTER's advertising services,

the user confirms that they have read, understood and accepted these User Terms of Usage.

The user agrees to comply with all applicable OOTER policies and applicable laws.
