## 1. Purpose

The Merchant Inventory Verification & Listing Policy (“Policy”) establishes the requirements for merchants who wish to list outdoor advertising inventory on OOTER.

The purpose of this Policy is to ensure that inventory listed on OOTER is:

* Legally and commercially authorized
* Properly documented
* Accurately represented
* Currently available
* Suitable for advertising
* Maintained throughout the listing period
* Capable of being fulfilled when booked by an advertiser

This Policy is intended to protect advertisers, merchants and OOTER from unauthorized, expired, duplicate, misleading or unavailable inventory listings.

# 2. Scope

This Policy applies to all merchants and all advertising inventory listed, submitted, uploaded or offered through OOTER.

It applies to all formats, including but not limited to:

* Billboards
* Hoardings
* Unipoles
* Digital screens
* Transit media
* Bus shelters
* Railway advertising
* RWA advertising
* Lift branding
* Cab branding
* Retail media
* Mall media
* Street furniture
* Other outdoor advertising formats

# 3. Merchant Eligibility

A merchant may list inventory on OOTER only if the merchant has the legal, contractual or authorized commercial right to offer that inventory for advertising.

The merchant must be able to demonstrate such authority when requested by OOTER.

Merchants may include:

* Inventory owners
* Authorized media owners
* Government-allotted media operators
* Tender holders
* Licensed operators
* Authorized advertising agencies
* Other entities having valid rights to commercially operate the inventory

# 4. Ownership and Authorization Requirement

Every inventory listed on OOTER must be supported by valid ownership, allotment, authorization or operating-right documentation where requested.

Acceptable documentation may include, as applicable:

* Government allotment letter
* Government tender document
* Tender award letter
* Work order
* Valid agreement
* License
* Lease or concession document
* Authorization letter
* Property-owner authorization
* Other official documentation establishing the merchant's right to operate or sell the inventory

The document must reasonably establish the merchant's current right to the relevant inventory.

# 5. GST Certificate Is Not Proof of Inventory Ownership

A GST certificate may establish the merchant's business or tax registration.

However, **GST registration alone does not establish ownership, allotment, authorization or current commercial rights over a specific advertising inventory.**

Accordingly, OOTER may require separate inventory ownership or authorization documentation before approving an inventory listing.

# 6. Document Validity

Submitted documents must be valid and relevant to the inventory being listed.

OOTER may reject documents that:

* Have expired
* Do not identify the relevant inventory
* Belong to another entity without authorization
* Do not establish current rights
* Are incomplete
* Are materially inconsistent with the submitted inventory
* Are unclear or unverifiable
* Are only evidence of participation in a tender rather than evidence of award/allotment
* Relate to a previous period for which the merchant no longer has rights

# 7. Expired Tender or Agreement

An expired tender, agreement, license or allotment document does not automatically establish current inventory rights.

Where the original document has expired, the merchant may be required to provide evidence of:

* Renewal
* Extension
* Fresh allotment
* New tender award
* Continuing authorization
* Other valid documentation establishing current rights

Until satisfactory evidence is provided, OOTER may restrict or remove the affected inventory from listing.

# 8. Tender Participation Receipt

A tender participation receipt, application receipt, bid submission receipt or similar document does not by itself establish that the merchant was awarded the inventory.

OOTER may require the final:

* Tender award
* Allotment
* Work order
* Agreement
* License
* Authorization
* Other official proof of rights

before approving the inventory.

# 9. Inventory-Specific Verification

Verification may be conducted at the **individual inventory/site level**.

Approval of one inventory does not automatically verify every other inventory submitted by the same merchant.

A merchant may therefore have:

* Some inventory approved
* Some inventory under review
* Some inventory rejected
* Some inventory suspended

based on the documentation and verification available for each inventory.

# 10. Verification Process

OOTER may review:

1. Merchant identity
2. Business details
3. Ownership/authorization documents
4. Inventory location
5. Inventory format
6. Inventory dimensions
7. Contract/allotment period
8. Current validity
9. Submitted photographs
10. Availability information
11. Other relevant information

OOTER may request additional documentation where necessary.

# 11. OOTER Verification Decision

After review, an inventory may be classified as:

### A. Verified

The submitted information and documentation are satisfactory for listing.

### B. Under Review

Additional information or verification is required.

### C. Rejected

The submitted documentation or information does not sufficiently establish the right to list the inventory.

### D. Suspended

Previously listed inventory is temporarily restricted due to an identified issue, complaint, expiry, dispute, non-compliance or verification concern.

# 12. Verification Does Not Transfer Ownership

Verification by OOTER does not mean that OOTER becomes the owner, operator, lessee or licensee of the inventory.

The merchant remains solely responsible for maintaining the legal and commercial rights necessary to offer the inventory.

# 13. Merchant Responsibility for Accuracy

The merchant is solely responsible for ensuring that all information submitted to OOTER is accurate and current.

This includes:

* Site location
* Inventory type
* Dimensions
* Availability
* Pricing
* Display specifications
* Illumination
* Visibility
* Campaign duration
* Ownership/authorization status
* Photos
* Other material information

---

# 14. Inventory Listing Information

Each inventory listing should contain sufficient information for an advertiser to understand the media opportunity.

Where applicable, the merchant should provide:

* Inventory name
* Exact or sufficiently specific location
* Media format
* Size/dimensions
* Orientation
* Illumination details
* Digital/static specifications
* Availability
* Campaign duration
* Applicable commercial terms
* Clear photographs
* Other relevant specifications

---

# 15. Photographs and Visual Representation

Inventory photographs submitted to OOTER must accurately represent the actual inventory.

Photographs should not:

* Show a different site
* Materially misrepresent visibility
* Hide permanent obstructions
* Be misleadingly edited
* Show an outdated structure where the current structure is materially different

OOTER may request updated photographs where necessary.

# 16. Inventory Availability

Merchants must keep inventory availability updated.

If an inventory becomes unavailable, the merchant must promptly update its OOTER listing or inform OOTER.

Examples include:

* Offline booking
* Government restriction
* Site removal
* Structural damage
* Temporary closure
* Ownership/authorization expiry
* Long-term commitment to another advertiser
* Other circumstances affecting availability

# 17. Confirmed Booking Protection

Once an inventory receives a confirmed OOTER booking, the merchant must protect that inventory for the confirmed campaign period.

The merchant must not:

* Double book the inventory
* Sell it to another advertiser
* Replace the campaign without approval
* Mark the inventory unavailable to avoid the OOTER booking
* Withdraw the inventory for commercial reasons

Confirmed OOTER campaigns shall be handled in accordance with the Merchant Terms of Usage and Merchant Refund, Cancellation & Campaign Protection Policy.

# 18. Offline Inventory Sales

A merchant may continue to conduct offline/direct business for inventory that is not committed to an OOTER campaign, subject to applicable OOTER commercial commitments.

However, once an inventory is confirmed for an OOTER campaign, the merchant must protect the confirmed campaign for the applicable period.

# 19. Duplicate Listings

A merchant must not create duplicate or substantially identical listings for the same inventory for the purpose of:

* Manipulating availability
* Increasing visibility artificially
* Creating conflicting bookings
* Circumventing platform controls
* Misrepresenting inventory

OOTER may merge, modify, suspend or remove duplicate listings.

# 20. Inventory Location Accuracy

The listed location must correspond to the actual advertising site.

The merchant must not:

* Use a nearby location to create a misleading impression
* Upload a different site's location
* Deliberately alter location information
* Misrepresent the site's visibility or surroundings

Where technically available, OOTER may use location-based verification methods.

# 21. Inventory Specifications

The merchant must provide accurate specifications.

This may include:

* Width
* Height
* Total display area
* Number of faces
* Orientation
* Static/digital format
* Resolution
* Illumination
* Operating hours
* Structural characteristics
* Other material specifications

Material inaccuracies may result in listing suspension.

# 22. Digital Inventory

For digital screens, merchants must provide accurate information regarding:

* Screen size
* Resolution
* Display format
* Available advertising slots
* Loop duration
* Frequency
* Operating hours
* Technical limitations
* Availability

The merchant must promptly report material technical failures affecting campaign delivery.

---

# 23. Static Inventory

For static inventory, merchants must ensure that the listed site is capable of accommodating the booked creative in the agreed format and size.

Any material restriction affecting installation must be disclosed before confirmation where reasonably known.

---

# 24. Inventory Rights Expiry

Merchants must monitor the expiry of their:

* Tenders
* Agreements
* Licenses
* Allotments
* Authorizations
* Other rights relating to inventory

The merchant must provide updated documentation when existing rights expire or are renewed.

---

# 25. Renewal Documentation

Where inventory rights are renewed, the merchant should submit updated documentation to OOTER promptly.

OOTER may temporarily suspend the affected inventory until the renewal documentation is reviewed.

# 26. Change in Ownership or Control

If ownership, operating rights, contractual control or authorization of an inventory changes, the merchant must inform OOTER.

OOTER may require:

* New authorization
* Updated agreement
* Transfer documentation
* New allotment
* Other evidence establishing the new rights

---

# 27. Third-Party Inventory

A merchant may list third-party inventory only where the merchant has valid authorization to commercially offer that inventory.

The merchant remains responsible for ensuring that the authorization is valid and sufficient for the intended listing and campaign.

# 28. Sub-Authorization

Where a merchant relies on another entity's authorization, OOTER may request evidence showing that the merchant is permitted to commercially sell or operate the relevant inventory.

A document issued to one entity does not automatically authorize another entity.

# 29. Inventory Under Dispute

If ownership, authorization, location rights or commercial rights are disputed, OOTER may:

* Place the inventory under review
* Temporarily suspend the listing
* Prevent new bookings
* Request additional documentation
* Remove the inventory
* Take other protective measures

This may be done to protect advertisers and the platform while the issue is investigated.

# 30. Government or Regulatory Restrictions

Merchants must inform OOTER if an inventory becomes subject to:

* Government notice
* Municipal restriction
* Advertising ban
* Removal order
* Structural restriction
* Licensing issue
* Other regulatory action

Failure to disclose a material restriction may constitute a merchant violation.

# 31. Inventory Condition

The merchant is responsible for ensuring that inventory is maintained in reasonably usable condition.

Where applicable, the merchant must maintain:

* Structural integrity
* Display surface
* Lighting
* Digital functionality
* Supporting equipment
* Reasonable visibility
* Safe access for installation and maintenance

# 32. Material Changes to Inventory

The merchant must inform OOTER of material changes, including:

* Relocation
* Reduction in size
* Change of format
* Structural modification
* Change in visibility
* Permanent obstruction
* Change from static to digital or vice versa
* Other material modifications

OOTER may require the listing to be reverified.

---

# 33. Inventory Pricing

Merchants must provide accurate commercial information.

Once a booking has been confirmed, the merchant should not attempt to increase the agreed price solely because:

* Market rates increased
* Another advertiser offered a higher price
* The merchant changed its commercial preference

Any modification to a confirmed booking must be handled through OOTER.

# 34. Inventory Availability Conflicts

Where OOTER identifies conflicting availability information, OOTER may contact the merchant for clarification.

Until the issue is resolved, OOTER may temporarily restrict booking of the affected inventory.

# 35. Verification Recheck

OOTER may reverify inventory at any time where there is a reasonable need to do so.

Reverification may occur due to:

* Document expiry
* User complaint
* Government notice
* Ownership dispute
* Inventory modification
* Repeated campaign failures
* Suspected misrepresentation
* Platform quality-control requirements

# 36. Physical or Digital Verification

Where appropriate, OOTER may use:

* Site photographs
* Video verification
* Geo-location information
* Site visits
* User feedback
* Campaign proof
* Publicly available information
* Merchant documents
* Other reasonable verification methods

---

# 37. Merchant Duty to Update

Merchants must promptly update OOTER when information relating to an inventory changes.

The merchant must not knowingly leave outdated information active where such information could affect an advertiser's booking decision.

---

# 38. Misrepresentation

The following may constitute material misrepresentation:

* False ownership claim
* False authorization
* False tender information
* False validity dates
* False location
* False dimensions
* False availability
* False photographs
* False campaign proof
* Misleading inventory description

Material misrepresentation may result in immediate suspension or removal.

# 39. Fraudulent Documentation

Submission of forged, altered, fabricated or knowingly misleading documentation is strictly prohibited.

Where OOTER reasonably suspects fraudulent documentation, it may:

* Suspend the relevant inventory
* Hold related payments
* Suspend the merchant account
* Request clarification or original documentation
* Terminate the merchant relationship
* Take other lawful action

# 40. Unverified Inventory

OOTER may prevent an inventory from being booked until the required verification has been completed.

Merchants must not represent unverified inventory as “OOTER verified” or otherwise imply that OOTER has approved the inventory when it has not.

---

# 41. Listing Approval Does Not Guarantee Booking

Verification or approval of an inventory does not guarantee:

* Advertiser demand
* Booking volume
* Campaign duration
* Revenue
* Minimum occupancy
* Any particular commercial return

Listing approval only means that the inventory has satisfied the applicable OOTER listing requirements at the time of approval.

# 42. OOTER's Right to Reject Inventory

OOTER may reject an inventory where:

* Documentation is insufficient
* Ownership cannot be reasonably established
* Current authorization is unclear
* Inventory information is materially inaccurate
* The inventory presents legal or operational concerns
* The inventory does not meet platform requirements
* The inventory creates unreasonable advertiser risk

OOTER may request additional information before reconsideration.

# 43. Inventory Suspension

OOTER may suspend an inventory temporarily where:

* Documents have expired
* Verification is pending
* A material complaint is received
* Ownership is disputed
* Inventory becomes unavailable
* A regulatory issue arises
* Merchant repeatedly violates listing requirements
* Campaign delivery problems occur
* Fraud or misrepresentation is suspected

Suspension may remain until the relevant issue is resolved.

# 44. Inventory Removal

OOTER may remove inventory from the platform where:

* The merchant no longer has valid rights
* The merchant requests removal
* Documentation is fraudulent
* The inventory is materially misrepresented
* The inventory is permanently unavailable
* The inventory repeatedly violates platform requirements
* Continued listing creates material legal or commercial risk

# 45. Warnings and Corrective Action

For non-critical listing violations, OOTER may issue a warning and provide an opportunity for corrective action.

The merchant may be required to:

* Update listing information
* Submit documents
* Correct availability
* Upload new photographs
* Correct specifications
* Remove duplicate listings
* Resolve documentation discrepancies

# 46. Three-Warning Rule

Where appropriate, repeated listing non-compliance may result in progressive enforcement.

As a general platform practice:

**First warning:** Correction required

**Second warning:** Inventory restriction or additional verification

**Third warning:** Inventory suspension and/or merchant account review

Serious violations may result in immediate suspension without waiting for three warnings.

# 47. Merchant Responsibility After Verification

Verification is not a one-time transfer of responsibility.

The merchant remains responsible for maintaining:

* Valid rights
* Accurate information
* Availability
* Inventory condition
* Required permissions
* Current documentation

throughout the period in which the inventory remains listed.

# 48. Campaign Protection After Listing

Once a verified inventory is booked through OOTER, the merchant's obligations extend beyond maintaining the listing.

The merchant must ensure that the booked inventory is actually available and delivered for the confirmed campaign period.

Campaign-specific obligations are further governed by the **Merchant Refund, Cancellation & Campaign Protection Policy**.

# 49. Payment and Verification Relationship

Verification status may affect campaign eligibility and merchant settlement.

OOTER may delay or hold settlement where:

* Required verification is incomplete
* Ownership documentation is disputed
* Campaign delivery is under investigation
* Fraud or misrepresentation is suspected
* The merchant has materially breached platform requirements

Applicable payment terms are governed by the OOTER Merchant Payment & Settlement Policy.

# 50. No Transfer of Liability to OOTER

Verification, listing approval or platform publication does not transfer the merchant's legal responsibility for the inventory to OOTER.

The merchant remains responsible for:

* Ownership
* Authorization
* Licenses
* Government permissions
* Site rights
* Legal compliance
* Inventory availability
* Campaign execution

---

# 51. Third-Party Claims

If a third party raises a claim relating to the merchant's inventory rights, the merchant must promptly notify OOTER and cooperate in resolving the matter.

OOTER may suspend the affected inventory until sufficient clarification is received.

# 52. Audit and Verification Rights

OOTER may periodically review merchant listings and supporting documentation for quality, compliance and campaign protection purposes.

The merchant agrees to provide reasonable information and documents requested for such verification.

# 53. Confidentiality of Documents

Documents submitted for verification may contain commercially sensitive information.

OOTER will use such information for legitimate purposes including:

* Merchant verification
* Inventory verification
* Compliance
* Fraud prevention
* Campaign protection
* Dispute resolution
* Legal/regulatory requirements

---

# 54. Merchant Indemnification

To the extent permitted by applicable law, the merchant may be responsible for claims, losses, penalties or costs arising from:

* Unauthorized inventory listing
* False ownership claims
* Invalid authorization
* Fraudulent documents
* Material misrepresentation
* Failure to maintain required permissions
* Third-party ownership disputes caused by merchant conduct

# 55. Relationship With Other Merchant Policies

This Policy shall be read together with:

1. **Merchant Terms of Usage**
2. **Merchant Refund, Cancellation & Campaign Protection Policy**
3. **Merchant Payment & Settlement Policy**
4. **Merchant Code of Conduct & Compliance Policy**

Together, these policies establish the principal obligations applicable to merchants using OOTER.

# 56. Policy Modification

OOTER may modify or update this Policy from time to time to reflect:

* Operational changes
* Legal or regulatory requirements
* Platform improvements
* Verification standards
* Fraud prevention measures
* Changes in outdoor advertising practices

Updated provisions shall become effective from the date communicated by OOTER.

# 57. Governing Law and Jurisdiction

This Policy shall be governed by the applicable laws of India.

Subject to any applicable dispute-resolution arrangement, courts having jurisdiction in **Delhi, India** shall have jurisdiction over disputes arising from this Policy.

# 58. Merchant Acceptance

By submitting, listing, publishing or continuing to offer inventory on OOTER, the merchant confirms that:

* The merchant has the necessary rights or authorization to offer the inventory;
* The information submitted is accurate to the best of the merchant's knowledge;
* The merchant will maintain valid documentation;
* The merchant will keep inventory availability updated;
* The merchant will promptly disclose material changes;
* The merchant will cooperate with OOTER verification;
* The merchant will protect confirmed OOTER campaigns; and
* The merchant accepts this Merchant Inventory Verification & Listing Policy.
