## 1. Purpose
The OOTER User Payment Policy (“Policy”) establishes the rules governing payments made by advertisers/users for outdoor advertising campaigns booked through the OOTER platform.
This Policy covers:
* Campaign payments;
* Payment methods;
* Advance payment requirements;
* Booking confirmation;
* Payment failure;
* Taxes and applicable charges;
* Payment cancellations and refunds;
* Chargebacks and disputes; and
* Payment-related responsibilities of users.

## 2. Scope
This Policy applies to all users, advertisers, companies, agencies and other customers making payments for advertising inventory through OOTER.
It applies to campaigns booked through OOTER, including but not limited to:
* Billboards;
* Hoardings;
* Unipoles;
* Digital screens;
* Transit media;
* RWA advertising;
* Lift branding;
* Cab branding;
* Railway advertising;
* Retail media; and
* Other outdoor advertising inventory available on OOTER.

## 3. Platform Payment Mechanism
All payments for OOTER platform bookings must be made through the payment methods and payment gateway(s) made available by OOTER.
Where applicable, OOTER may use third-party payment service providers such as Cashfree or other authorized payment processors.
Users should not make direct or offline payments to a merchant for an OOTER-confirmed booking unless specifically authorized by OOTER in writing.

## 4. Campaign Payment
Unless otherwise specified by OOTER, the user is required to make **100% advance payment** for the campaign at the time of booking.
A campaign booking shall generally be treated as confirmed only after:
1. Payment has been successfully received or authorized through the applicable payment mechanism; and
2. OOTER has issued or recorded the applicable booking confirmation.
A payment initiation or failed transaction does not by itself constitute a confirmed booking.

## 5. Payment Confirmation
After successful payment, OOTER may provide the user with:
* Payment confirmation;
* Booking confirmation;
* Invoice or payment receipt;
* Campaign details; or
* Other relevant transaction information.
Users should retain payment confirmations and transaction references for their records.

## 6. Minimum Campaign Duration
Unless otherwise specified for a particular inventory or campaign, the standard minimum campaign duration on OOTER may be **one month**.
Specific inventory, package or promotional terms may provide for different campaign durations.

## 7. Payment Gateway
OOTER may process payments through an authorized payment gateway or payment service provider.
The payment gateway may apply its own:
* Transaction processing requirements;
* Security procedures;
* Verification procedures;
* Banking timelines; and
* Applicable terms.
OOTER does not control the internal processing timelines of banks, card networks or payment gateways.

## 8. Accepted Payment Methods
The payment methods available to a user may depend on the options enabled by OOTER and its payment service provider.
These may include, where available:
* Credit cards;
* Debit cards;
* UPI;
* Net banking;
* Wallets;
* Corporate payment methods; and
* Other supported digital payment methods.
OOTER may add, remove or modify payment methods from time to time.

## 9. Payment Failure
If a payment fails, is declined, expires or is not successfully completed, the booking may not be confirmed.
The user may be required to initiate the payment again.
If money has been debited from the user's account despite a failed booking, the user should retain the transaction reference and contact OOTER for verification.

## 10. Pending Transactions
A payment may temporarily appear as:
* Pending;
* Processing;
* Authorized;
* Failed; or
* Successful.
A booking should not be treated as confirmed solely because an amount has been debited or temporarily blocked.
The final booking status will depend on the payment and booking confirmation recorded by OOTER.

## 11. Duplicate Payments
If a user believes that the same campaign has been paid for more than once, the user should promptly notify OOTER with the relevant:
* Booking ID;
* Transaction ID;
* Payment date;
* Amount; and
* Other supporting information.
After verification, OOTER may process the applicable adjustment or refund.

## 12. Pricing
The applicable campaign price shall be the price displayed or communicated by OOTER at the time of booking, subject to applicable terms.
Pricing may depend on:
* Inventory;
* Location;
* Campaign duration;
* Format;
* Availability;
* Seasonality;
* Promotional offers; and
* Other applicable commercial factors.

## 13. Taxes and Government Charges
Applicable taxes, statutory charges, platform charges or other disclosed fees may be added to the campaign price.
Where applicable, invoices shall reflect the relevant taxes or charges.
The user is responsible for paying the total amount displayed at checkout unless otherwise agreed.

## 14. GST and Invoice Information
Users should provide accurate billing information where an invoice is required.
This may include:
* Legal business name;
* Billing address;
* GSTIN, where applicable;
* PAN, where required; and
* Other relevant billing information.
The user is responsible for ensuring that submitted billing information is accurate.

## 15. Invoice
Where applicable, OOTER may issue an invoice or payment document for the transaction.
The invoice may include:
* Campaign details;
* Booking information;
* Tax information;
* Applicable charges;
* Payment amount; and
* Other transaction details.

## 16. Promotional Discounts
OOTER may offer promotional discounts, coupons, credits or other incentives from time to time.
Promotional offers may be subject to specific:
* Validity periods;
* Eligibility criteria;
* Minimum booking values;
* Inventory restrictions;
* Usage limits; and
* Other conditions.
Unless specifically stated, promotional benefits are not transferable or exchangeable for cash.

## 17. Promotional Misuse
Users must not misuse promotional offers by:
* Creating fraudulent accounts;
* Using false information;
* Repeatedly exploiting a limited-use offer;
* Manipulating transactions; or
* Engaging in other activity intended to obtain an unauthorized benefit.
OOTER may cancel or reverse promotional benefits obtained through misuse.

## 18. Payment and Booking Confirmation
Payment and inventory availability are separate considerations.
Even where a payment is initiated, the campaign is subject to inventory availability and OOTER booking confirmation.
If the requested inventory cannot be confirmed after payment, OOTER may process the applicable refund or alternative arrangement.

## 19. Cancellation and Refund
User cancellation and refund eligibility are governed by the **OOTER User Refund & Cancellation Policy**.
In general, refund eligibility may depend on:
* Time of cancellation;
* Campaign status;
* Printing or mounting status;
* Whether campaign execution has started;
* Merchant-side failure;
* OOTER operational failure; and
* Other applicable circumstances.
Users should review the User Refund & Cancellation Policy before cancelling a booking.

## 20. User Cancellation Within 24 Hours
Where applicable under the User Refund & Cancellation Policy, a user cancellation made within **24 hours of booking** may qualify for a **100% refund**, provided printing, mounting or campaign execution has not already been processed.

## 21. Cancellation Between 24–48 Hours
Where applicable, cancellations made between **24 and 48 hours** may be subject to a cancellation deduction.
The applicable deduction may depend on campaign status and operational commitments already incurred.
The standard policy may provide for a deduction of approximately **25%–50%**, with a minimum standard deduction of **30%**, subject to the applicable User Refund & Cancellation Policy.

## 22. Cancellation After 48 Hours
Except where otherwise provided under the User Refund & Cancellation Policy, cancellations after **48 hours** may not qualify for a refund.
Exceptions may apply in circumstances such as:
* Confirmed merchant violation;
* OOTER operational failure;
* Material campaign non-delivery; or
* Other circumstances specifically approved under the applicable policy.

## 23. Merchant-Side Campaign Failure
If a confirmed campaign cannot be delivered because of a verified merchant-side issue, OOTER may provide an appropriate remedy.
Depending on the circumstances, this may include:
* Campaign extension;
* Replacement inventory;
* Partial refund;
* Full refund; or
* Other appropriate compensation.

## 24. OOTER Operational Failure
Where a campaign cannot be delivered because of a verified OOTER platform or operational failure, OOTER may review the matter and provide an appropriate remedy.
The remedy may depend on:
* Duration of the failure;
* Campaign status;
* Nature of the failure;
* Actual impact on the campaign; and
* Available alternative arrangements.

## 25. No Automatic Refund for Partial Usage
A user is not automatically entitled to a refund merely because the campaign was partially used.
A refund or adjustment may be considered where the partial usage resulted from:
* Verified merchant-side failure;
* Confirmed OOTER operational failure;
* Material campaign interruption; or
* Other circumstances covered by the applicable refund policy.

## 26. Refund Processing
Where a refund is approved, OOTER will generally initiate the refund through the applicable payment gateway or original payment mechanism.
Refunds may take approximately **7–10 business days** to reflect, depending on the payment gateway, bank and payment method.

## 27. Refund to Original Payment Method
Where technically and operationally possible, refunds will generally be processed to the original payment method used for the transaction.
Additional verification may be required in certain circumstances.

## 28. Chargebacks
Users should first contact OOTER regarding a disputed transaction before initiating a chargeback, where reasonably possible.
If a chargeback is initiated, OOTER may provide relevant transaction, booking and campaign information to the payment service provider or financial institution for investigation.

## 29. Chargeback Abuse
Users must not initiate fraudulent or abusive chargebacks where:
* The service was delivered;
* The booking was validly confirmed;
* The applicable refund has already been processed; or
* The user has otherwise received the contracted benefit.
Repeated fraudulent disputes may result in account restrictions.

## 30. Payment Disputes
For payment-related disputes, OOTER may request:
* Booking ID;
* Transaction ID;
* Payment receipt;
* Bank statement;
* Screenshot;
* Invoice;
* Communication records; or
* Other relevant information.
Users should cooperate with reasonable verification requests.

## 31. Unauthorized Payments
Users should immediately notify OOTER and their bank/payment provider if they believe that a transaction was unauthorized or fraudulent.
OOTER may investigate the transaction and take appropriate action.

## 32. Payment Security
OOTER may use third-party payment processors and security systems to process transactions.
Users should not share:
* OTPs;
* Card PINs;
* CVVs;
* Passwords;
* UPI PINs; or
* Other confidential payment credentials
with OOTER employees, merchants or other third parties.
OOTER personnel will not ordinarily require a user's confidential payment credentials.

## 33. Merchant Direct Payment Restriction
For bookings made through OOTER, users should not be asked by merchants to make payment directly to the merchant outside the approved OOTER payment process.
If a merchant requests direct payment to bypass the platform, the user should report the matter to OOTER.

## 34. Payment Receipts and Records
Users should retain transaction records, invoices, booking confirmations and other payment-related documents.
OOTER may retain transaction information in accordance with its applicable privacy, data retention and legal requirements.

## 35. Payment Reconciliation
Where a payment has been received but the corresponding booking status is unclear, OOTER may reconcile:
* Payment gateway records;
* Booking records;
* Merchant confirmation;
* Inventory availability; and
* Other relevant transaction information.
The final status may be updated after reconciliation.

## 36. Currency
Unless otherwise specified, campaign prices and payments on OOTER shall be denominated and processed in **Indian Rupees (INR)**.
Any applicable banking, conversion or international payment charges may be the responsibility of the user where relevant.

## 37. Corporate and Agency Bookings
Where a company, agency or other organization makes a booking on behalf of an advertiser, the organization making the payment remains responsible for providing accurate billing and payment information.
Any internal arrangement between the advertiser and agency does not alter the user's payment obligations to OOTER unless expressly agreed by OOTER.

## 38. Account and Payment Information
Users must ensure that their account and billing information is accurate and current.
OOTER may request additional information for:
* Payment verification;
* Fraud prevention;
* Invoice generation;
* Regulatory compliance; or
* Transaction reconciliation.

## 39. Fraud Prevention
OOTER may conduct reasonable checks to prevent:
* Payment fraud;
* Identity misuse;
* Account abuse;
* Promotional abuse;
* Unauthorized transactions;
* Chargeback abuse; and
* Other fraudulent activity.
Transactions may be delayed, rejected or cancelled where reasonably necessary for security or compliance.

## 40. Suspicious Transactions
OOTER may temporarily restrict or review a transaction where there are reasonable indications of:
* Fraud;
* Unauthorized payment;
* Identity mismatch;
* Payment manipulation;
* Abnormal transaction activity; or
* Other security concerns.
The user may be required to provide additional information.

## 41. User Responsibility
The user is responsible for:
* Providing accurate payment information;
* Using an authorized payment method;
* Maintaining sufficient funds;
* Reviewing booking details before payment;
* Maintaining transaction records;
* Protecting payment credentials; and
* Promptly reporting unauthorized transactions.

## 42. No Credit Unless Agreed
Unless OOTER expressly agrees otherwise in writing, campaigns must be paid for in advance.
A user should not assume that a campaign can be executed on credit or against future payment.

## 43. Payment Policy Modification
OOTER may modify this Policy from time to time to reflect:
* Payment gateway changes;
* Regulatory requirements;
* Tax changes;
* Platform improvements;
* Fraud prevention measures; or
* Changes in business practices.
Updated provisions shall become effective from the date communicated by OOTER.

## 44. Relationship With Other User Policies
This Policy should be read together with:
1. **User Terms of Usage**
2. **User Refund & Cancellation Policy**
3. **Other applicable OOTER policies and booking-specific terms**
Where a campaign has specific commercial terms displayed at the time of booking, those terms may also apply.

## 45. Governing Law and Jurisdiction
This Policy shall be governed by the applicable laws of India.
Subject to any applicable dispute-resolution arrangement, courts having jurisdiction in **Delhi, India** shall have jurisdiction over disputes arising from this Policy.

## 46. User Acceptance
By making a payment, placing a booking or using OOTER's paid advertising services, the user acknowledges that they have read, understood and accepted this User Payment Policy.
The user agrees to comply with the applicable payment, cancellation, refund, verification and transaction requirements.
